Filing of Board resolutions concerning a share capital increase under Art. 2443 of the Civil Code
Pursuant to Article 72 para. 6 of the Issuers Regulation ("Regolamento Emittenti") and the relating temporary provisions, we inform that the resolutions of the Board of Directors of May 9, 2013 concerning:
- Proposal for a paid increase in share capital by partial exercise of the power under Article 2443 of the Civil Code granted by the shareholders in the extraordinary meeting of April 27, 2010 – as integrated by a resolution of the Extraordinary Shareholders' Meeting of April 19, 2012 - for the purpose of issuing shares of common stock to service the exercise of stock options assigned to the directors and managers of the company and its subsidiaries included in the 2010 Stock Option Plan with exclusion of the option rights pertaining to the shareholders and with the application of a premium; inherent and consequent deliberations;
- Proposal for a paid increase in share capital by partial exercise of the power under Article 2443 of the Civil Code granted by the shareholders in the extraordinary meeting of April 27, 2010 for the purpose of issuing shares of common stock to service the exercise of stock options assigned to collaborators of the company and of the subsidiaries included in the 2010 Stock Option Plan, with exclusion of the option rights pertaining to the shareholders and with application of a premium; inherent and consequent deliberations;
are available for public consultation at the company's registered office, on the website of Borsa Italiana S.p.A. and on the website www.mediolanum.com under the section Investor Relations/Corporate Governance/Other Documents.
