Mediolanum S.p.A informs to have received today the resignation from the office from the Chairman of the Board of Statutory Auditors, Mr. Ezio Simonelli.
The resignation has been motivated by the director with the necessity to fulfil the discipline set forth by art. 36 of Law Decree of December 6, 2011, converted into Law n. 214 of December 22, 2011, that prohibits to "holders of offices in executive, supervisory and control bodies and general management positions in companies, or groups of companies, transacting business in the credit, insurance and financial markets to accept or carry out similar offices or positions in competing companies or groups of companies".
The Company, acknowledging the decision of Mr. Ezio Simonelli, on behalf of the Board of Directors and the Board of Statutory Auditors, expresses warm gratitude for the precious contribution and commitment.
Pursuant to Art. 2401 of the Civil Code and until the next Shareholders' Meeting, the standing Auditor Mr. Francesco Vittadini will take the chair of the Board of Statutory Auditors, while Mr. Antonio Marchesi, alternate Auditor, will take office as standing Statutory Auditor.
Mr. Vittadini was elected standing Statutory Auditor in the Shareholders' Meeting of April 21, 2011, together with the appointment of the Board of Statutory Auditors for the period 2011-2013, and had been candidated in the only list presented by the shareholders that are parties to the Shareholders Agreement governing Mediolanum S.p.A. (Fininvest S.p.A. and the Doris Group).
Mr. Marchesi was elected alternate Statutory Auditor in the same Meeting and had been candidated in the same list. The information foreseen by Article 144-sexies of the "Regolamento Emittenti" is available at the Company's website (https://www.mediolanum.it) under the section Investor Relations\Corporate\Annual General Meeting\Archive since its publication on March 30, 2011, following the presentation of the list. Based on the information available pursuant to Art. 114 para. 7 of the TUF, Mr. Simonelli does not hold, directly and indirectly, Mediolanum shares.
