Joint Press Release Mediolanum and Banca Mediolanum
Merger of Mediolanum SpA into Banca Mediolanum S.p.A. Authorization of
the merger and related amendments to the bylaws by the Bank of Italy
Mediolanum S.p.A. and Banca Mediolanum S.p.A. - with reference to the joint press release of May 25, 2015 concerning the reverse merger project of Mediolanum S.p.A. into Banca Mediolanum S.p.A., which will result in the listing of the shares of Banca Mediolanum SpA on the electronic stock exchange (MTA) managed by Borsa Italian SpA - announce that the authorization for the merger (pursuant to art. 57 of the Consolidated Banking Act) and the related assessment regarding the ensuing amendments to the bylaws (pursuant to art. 56 and 61 of the Consolidate Banking Act) were received from the Bank of Italy on July 21, 2015.
